Terms and Conditions

 Definitions:

Agreement means the contract formed between the Purchaser and Supplier and constituted by these Terms and any acceptance or confirmation of Order by the Supplier, whether written or oral or constituted by the Supplier supplying Goods and / or Services to the Purchaser. Purchaser means the person or entity to whom Goods are supplied by the Supplier. Delivery means the delivery to or collection by the Purchaser of the Goods as provided for in these Terms or as otherwise agreed in writing between the Supplier and Purchaser. Goods means all goods, products, equipment and other materials the subject of an Order by the Purchaser or otherwise provided to the Purchaser by the Supplier under this Agreement provided that unless the context provides otherwise, any reference to Goods includes all proceeds of such Goods. Goods includes the provision of Services. GST means goods and services tax as defined by A New Tax System (Goods and Services Tax) Act 1999(Cth.) Order means any purchase order, request, instructions, direction to proceed whether written or oral, and in any form used by the Purchaser from time to time for ordering Goods. Services means any work or labour the subject of an Order by the Purchaser or otherwise provided to the Purchaser by the Supplier under this Agreement. Supplier means Pallet Corps Pty Ltd trading as Central Pallets, ACN 665 521 200.Terms means these terms and conditions and as amended by the Supplier in writing from time to time.

1. Payment Terms: Payment is due within 30 days from the invoice date unless otherwise agreed in writing. Payments required to be made by the Purchaser to the Supplier under this Agreement will be made free of any set-off, or counterclaim and without deduction or withholding.
2. Ownership: Ownership of goods remains with Central Pallets (Pallet Corps Pty Ltd) until full payment is received.
3. Quality Assurance: All pallets supplied, whether reconditioned or custom-made, are inspected for quality before delivery. Any defects or issues must be reported within 3 days of delivery.
4. Returns and Refunds: Returns are only accepted for defective goods reported within the specified timeframe. Custom-made pallets are non-returnable and non-refundable.
5. Liability: Supplier is not liable for any indirect, incidental, or consequential damages arising from the use of the supplied goods.
6. Delivery: Delivery dates are estimates and subject to change. Supplier is not responsible for delays caused by circumstances beyond its control.
7. Timber Goods:

• The purchaser acknowledges that timber products may exhibit natural variations in color, texture, and quality, as they are natural materials.
• Timber goods are susceptible to the effects of weather and environmental conditions, including but not limited to exposure to sunlight, rain, and temperature fluctuations.
• Improper storage or use may lead to timber deforming, warping, swelling, or developing fungal growth.
• Timber may also be affected by relative humidity, moisture, chemicals, and petrochemicals, resulting in potential damage or size variations.
• Some timber products may be treated with chemicals or preservatives that could be toxic, including formaldehyde. These products should be handled in well-ventilated areas and should not be burned unless done so safely.
• Dust from timber products, including sawdust, may be hazardous if inhaled and is highly combustible.
• The purchaser agrees to adhere to all applicable material safety data sheets (MSDS) related to the goods.
